Terms & Conditions

These Terms & Conditions govern access to and use of the GST Verify website, dashboard, APIs, documentation, and related services provided by Rasonix Technologies. By accessing or using the Service, creating an account, generating an API key, or purchasing credits, you agree to these Terms.

1. Nature of Service

The Service provides GSTIN verification, GST taxpayer lookup, and related business information retrieval through software interfaces, dashboards, APIs, and documentation. The Service is an information technology tool only and does not constitute legal, tax, accounting, audit, compliance, or professional advice.

2. Independent Technology Provider

Rasonix Technologies is an independent private technology service provider. We are not GSTN, CBIC, the Government of India, any State GST authority, or the official GST portal. Unless expressly stated in writing with supporting authorisation, we are not endorsed by, authorised by, affiliated with, or acting on behalf of any government authority.

3. Upstream Data Dependency

GSTIN verification results and taxpayer information may be obtained from third-party data providers, GST-related systems, public records, or other upstream sources. We do not create, control, modify, certify, or guarantee the underlying GST registration data. The accuracy, availability, freshness, completeness, and continuity of such data depends on the relevant upstream source.

4. No Guarantee of Accuracy or Completeness

We make commercially reasonable efforts to provide accurate responses; however, we do not warrant that any GSTIN status, taxpayer detail, legal name, trade name, registration status, filing-related detail, address, or any other information returned through the Service will always be accurate, complete, current, uninterrupted, or error-free.

5. Timestamp Limitation

Each verification result is valid only as of the date and time at which it was fetched or generated. GST registration status and taxpayer details may change after verification. Customers are responsible for conducting fresh verification wherever required for business, tax, legal, accounting, procurement, or compliance decisions.

6. No ITC, Invoice, Tax, or Legal Guarantee

The Service does not confirm or guarantee invoice validity, input tax credit eligibility, GST return correctness, vendor genuineness, supplier compliance, tax liability, fraud status, or legality of any transaction. Customers must rely on their own tax advisors, accountants, legal advisors, official government systems, and internal checks before taking any decision.

7. Customer Responsibility

The Customer is solely responsible for determining whether the Service is suitable for its intended use, including vendor onboarding, invoice processing, billing, KYC, procurement, fraud checks, accounting workflows, or compliance workflows. The Customer shall independently verify all information before relying on it for financial, tax, legal, regulatory, or business purposes.

8. No High-Risk Use Without Review

The Customer shall not use the Service as the sole basis for making decisions that may materially affect any person’s rights, business eligibility, creditworthiness, legal status, tax liability, access to services, or commercial standing without independent human review and verification.

9. Permitted Use

The Customer may use the Service only for lawful internal business purposes, such as GSTIN verification, vendor or customer onboarding checks, invoice data validation, and business record verification, subject to applicable law, these Terms, and the Customer’s active subscription or credit plan.

10. Prohibited Use

The Customer shall not use the Service for unlawful, fraudulent, misleading, defamatory, harassing, or discriminatory purposes. The Customer shall not scrape, harvest, bulk-download, compile databases beyond the subscribed plan, resell, sublicense, redistribute, expose the Service to third parties, reverse engineer the Service, bypass rate limits, abuse API keys, attempt unauthorised access, impersonate any government authority, or represent results as a government certificate, legal opinion, tax certificate, or compliance guarantee.

11. Customer Data and Privacy

The Customer represents that it has the lawful right, basis, consent, notice, or authorisation required under applicable law to submit GSTINs, business identifiers, personal data, or other information to the Service. The Customer is responsible for ensuring that its use of the Service complies with applicable privacy, data protection, tax, GST, and business laws.

12. Logs, Caching, and Retention

We may store request and response logs, metadata, timestamps, API usage records, verification results, billing records, IP addresses, API key usage, and related technical information for billing, audit, security, fraud prevention, debugging, legal compliance, dispute handling, and service improvement. We do not guarantee permanent storage of verification results. Customers should maintain their own records where required.

13. Service Availability

The Service may be unavailable, delayed, inaccurate, or interrupted due to maintenance, system failures, upstream provider downtime, GST-related system downtime, network issues, rate limits, force majeure events, changes in law, regulatory restrictions, or API access changes. We are not liable for losses caused by such unavailability, delay, interruption, or upstream dependency except where expressly agreed in a separate written SLA.

14. SLA and Support

Any uptime, response time, support commitment, service credit, or priority handling is valid only if agreed in a separate written agreement, enterprise order form, or SLA. General website, dashboard, trial, prepaid, or standard API access does not include any guaranteed SLA unless expressly stated in writing.

15. API Changes

We may modify, discontinue, replace, throttle, suspend, or change any API endpoint, field, response format, feature, pricing rule, integration, documentation, or access method for technical, commercial, legal, regulatory, security, upstream provider, or operational reasons. We may provide notice where practical, but urgent changes may be made without prior notice.

16. Suspension and Restriction Rights

We may suspend, restrict, throttle, or terminate access if we detect abuse, excessive usage, scraping, security risk, non-payment, breach of these Terms, unauthorised resale, suspicious activity, violation of law, upstream provider restriction, government or regulatory direction, or any use that may harm Rasonix Technologies, other customers, service stability, or third parties.

17. Fees, Credits, and Payments

Paid usage may operate through prepaid credits, subscription plans, custom pricing, or enterprise agreements. Credits, validity, deductions, taxes, refunds, and billing rules may vary by plan and may be updated from time to time. Unless separately agreed in writing, customers are responsible for reviewing the applicable pricing and maintaining sufficient balance before using chargeable API requests.

18. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the fees paid by the Customer to us for the Service during the three months immediately preceding the event giving rise to the claim.

19. Exclusion of Indirect Losses

We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, business, goodwill, data, tax credits, input tax credit, business opportunity, savings, procurement decisions, vendor decisions, or claims arising from customer reliance on verification results.

20. Customer Indemnity

The Customer shall indemnify and hold Rasonix Technologies, its directors, employees, partners, vendors, and affiliates harmless against claims, losses, penalties, damages, costs, and expenses arising from the Customer’s misuse of the Service, unlawful processing of data, breach of these Terms, violation of applicable law, unauthorised resale, misleading representation, or reliance on the Service contrary to the disclaimers in these Terms.

21. Branding and Representation

The Customer shall not represent that it is receiving official certification, government verification, GSTN endorsement, legal advice, tax advice, or compliance approval through the Service. The Customer shall not use our name, logo, API results, dashboard screenshots, reports, or documentation in a misleading, unauthorised, or damaging manner.

22. Intellectual Property

All rights, title, and interest in the website, dashboard, APIs, documentation, code, designs, workflows, systems, trademarks, brand assets, and related materials remain owned by Rasonix Technologies or its licensors. No ownership rights are transferred to the Customer except the limited right to use the Service in accordance with these Terms.

23. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Subject to applicable law, disputes shall be handled through good-faith discussion first. If unresolved, the courts having jurisdiction over the registered business location of Rasonix Technologies shall have jurisdiction, unless a separate written agreement states otherwise.

24. Updates to These Terms

We may update these Terms from time to time to reflect changes in the Service, business model, legal requirements, upstream provider terms, security practices, or operational needs. Continued use of the Service after updates means the Customer accepts the revised Terms.
